S&S MANAGEMENT AG (in Gründung) - Real Estate Invest Brokerage

1. Scope
These General Terms and Conditions (GTC) apply to all services provided by S&S MANAGEMENT AG (in Gründung) in the field of real estate brokerage in Switzerland. Deviating conditions of the client are only
recognized if confirmed in writing.

2. Services of S&S MANAGEMENT AG (in Gründung)
2.1 S&S MANAGEMENT HOLDING AG mediates real estate for purchase, sale, or rental.
2.2 The exact scope of services is specified individually in the respective brokerage agreement.
2.3 S&S MANAGEMENT AG (in Gründung) is entitled to use subcontractors to perform its services.
3. Obligations of the Client
3.1 The client shall provide all necessary information and documents completely and in a timely
manner.
3.2 The client shall inform S&S MANAGEMENT AG (in Gründung) of all relevant circumstances affecting the
brokerage.
3.3 The client agrees not to conduct independent negotiations with third parties as long as a
brokerage contract exists.

4. Remuneration / Commission
4.1 S&S MANAGEMENT AG (in Gründung) receives a commission upon successful brokerage, as specified in the
brokerage agreement.
4.2 The commission becomes due as soon as a binding purchase, rental, or lease agreement is
concluded.
4.3 All prices are exclusive of applicable VAT (if any).

5. Contract Duration and Termination
5.1 The brokerage contract may be terminated in writing by either party, unless otherwise agreed in
the contract.
5.2 Services already rendered up to the termination date are to be remunerated proportionally.

6. Liability
6.1 S&S MANAGEMENT AG (in Gründung) is only liable for intent and gross negligence.
6.2 S&S MANAGEMENT AG (in Gründung) assumes no liability for the accuracy of information provided by third
parties.
6.3 Any further liability is excluded, as far as legally permissible.

7. Data Protection
7.1 S&S MANAGEMENT AG (in Gründung) processes personal data in accordance with the Swiss Data Protection
Act (DPA) and the privacy policy on the website.
7.2 Data is used exclusively for the fulfillment of the brokerage contract.

8. Final Provisions
8.1 Amendments and supplements to the brokerage contract must be in writing.
8.2 Swiss law applies.
8.3 The place of jurisdiction is the registered office of S&S MANAGEMENT AG (in Gründung), as far as legally
permissible.
